Welcome to NiiGo.

These Terms & Conditions (“Terms”) govern your access to and use of the NiiGo website, mobile applications, and related services (collectively, the “Platform”).

NiiGo provides a technology platform that connects customers with local businesses and service providers, facilitates ordering and payments, and coordinates delivery services through participating merchants and delivery partners.

By creating an account, accessing, or using the Platform, you agree to these Terms. If you do not agree with these Terms, please do not use the Platform.

1. About NiiGo

NiiGo is a marketplace and technology platform designed to connect customers with participating merchants and service providers.

Depending on the service being used, NiiGo may facilitate:

Product and service discovery
Online ordering
Payments
Order management
Delivery coordination
Customer and merchant communication
Tracking and order status updates
Pharmacy and prescription-related ordering through participating licensed pharmacies

NiiGo may provide certain services directly and may also rely on independent merchants, licensed pharmacies, delivery partners, payment providers, and other third-party service providers.

Unless expressly stated otherwise, NiiGo does not manufacture, produce, or independently sell the products listed by third-party merchants.

2. Eligibility

You must meet the applicable legal age and capacity requirements to use the Platform and enter into agreements.

By using NiiGo, you confirm that:

The information you provide is accurate and complete.
You are legally permitted to use the Platform.
You will comply with these Terms and applicable laws.
You will not use the Platform for unlawful or fraudulent activities.

Additional age or eligibility requirements may apply to specific products or services.

3. NiiGo Accounts

Certain NiiGo features may require you to create an account.

You are responsible for:

Providing accurate registration information.
Keeping your login credentials confidential.
Maintaining the security of your account.
Ensuring that information associated with your account remains accurate.
Not allowing unauthorized persons to use your account.

You should notify NiiGo promptly if you believe that your account has been accessed without authorization.

NiiGo may suspend or terminate an account where we reasonably believe that the account has been used fraudulently, unlawfully, or in violation of these Terms.

4. Customers

Customers may use NiiGo to browse participating merchants, place orders, make payments, communicate with merchants or delivery partners where applicable, and receive products or services.

When placing an order, you agree to:

Provide accurate information.
Provide a valid delivery address where delivery is requested.
Provide accurate contact information.
Review your order before confirming it.
Pay all applicable charges shown at checkout.
Be reasonably available to receive deliveries.
Comply with applicable laws and these Terms.

Customers are responsible for checking their order details before completing an order.

5. Merchants

Merchants using NiiGo are responsible for the products and services they list on the Platform.

Merchants must:

Provide accurate business information.
Provide accurate product and service descriptions.
Maintain accurate pricing and availability information.
Fulfill accepted orders appropriately.
Package products appropriately for delivery.
Comply with applicable laws and regulations.
Maintain any licenses, permits, or registrations required for their business.
Handle customer orders professionally.
Provide accurate information regarding products, ingredients, specifications, and applicable restrictions.

Merchants are responsible for ensuring that products offered through NiiGo are lawful and suitable for sale.

NiiGo may remove listings, suspend merchants, or take other appropriate action where a merchant violates these Terms, applicable law, or NiiGo's policies.

6. Pharmacy and Prescription Services

NiiGo may facilitate orders from participating licensed pharmacies.

Where pharmacy services are available:

Prescription medicines may be subject to prescription and verification requirements.
Customers may be required to provide a valid prescription where required by law or the dispensing pharmacy.
Prescription information may be reviewed by the relevant licensed pharmacy.
A pharmacy may refuse to dispense a medicine where a prescription is invalid, incomplete, inappropriate, or otherwise cannot lawfully be fulfilled.
Product availability may vary.
NiiGo does not independently diagnose medical conditions or prescribe medication.
Customers should obtain appropriate professional medical advice regarding medicines and treatment.

The licensed pharmacy responsible for dispensing an order remains responsible for complying with applicable requirements relating to the dispensing of medicines.

NiiGo's handling of prescription and health-related information is described in the NiiGo Privacy Policy.

7. Product and Service Information

NiiGo works with merchants and service providers to display product and service information.

While we encourage merchants to provide accurate information, NiiGo cannot guarantee that every listing will always be:

Complete
Accurate
Current
Available
Error-free

Product images may be provided for illustrative purposes and may not always represent the exact appearance of the delivered product.

Prices, availability, descriptions, and other listing information may change without notice.

Where an obvious pricing, description, or listing error occurs, NiiGo or the relevant merchant may correct the error and, where appropriate, cancel the affected order.

8. Orders

When you place an order through NiiGo, the order is submitted to the relevant merchant or service provider.

An order is not necessarily accepted merely because it has been submitted.

An order may be:

Accepted
Rejected
Cancelled
Delayed
Modified where permitted

Orders may be affected by product availability, merchant operating hours, payment status, delivery availability, technical problems, or other circumstances.

Where an order cannot be fulfilled after payment has been made, any applicable refund will be handled in accordance with the NiiGo Refund Policy.

9. Prices and Payments

Prices displayed on NiiGo may include or exclude applicable delivery charges, service charges, taxes, or other fees depending on how the order is presented at checkout.

The applicable amount payable will be displayed before you complete the order where reasonably possible.

Payments may be processed through third-party payment providers.

By making a payment, you confirm that:

You are authorized to use the selected payment method.
The payment information provided is accurate.
You authorize the applicable payment provider to process the transaction.

NiiGo may use third-party payment providers and is not responsible for the independent systems, policies, or practices of those providers.

10. Delivery

Where delivery is available, NiiGo may coordinate delivery through participating delivery partners.

Delivery times shown on the Platform are estimates unless expressly stated otherwise.

Delivery may be affected by:

Traffic
Weather
Merchant preparation times
Customer availability
Incorrect delivery information
Road or access restrictions
Vehicle or technical problems
High demand
Events outside NiiGo's reasonable control

Customers are responsible for providing accurate delivery information and being reasonably available to receive their orders.

11. Delivery Partners

Delivery partners may operate independently or through arrangements with NiiGo or participating businesses.

Delivery partners are expected to:

Handle orders appropriately.
Follow applicable delivery procedures.
Use customer information only for legitimate delivery purposes.
Maintain appropriate professional conduct.
Comply with applicable laws and NiiGo requirements.

Customers must treat delivery partners respectfully and must not threaten, abuse, harass, or endanger them.

12. Order Cancellation

Orders may be cancelled by customers, merchants, delivery partners, or NiiGo in circumstances permitted under the applicable policies.

Cancellation may depend on the status of the order.

For example, cancellation may become unavailable or subject to different conditions once an order has been accepted, prepared, collected, or dispatched.

Any refund resulting from cancellation will be handled in accordance with the NiiGo Refund Policy.

13. Refunds

Refund eligibility may depend on the reason for the refund, order status, product type, merchant policy, payment status, and applicable law.

Examples of circumstances that may result in a refund or other resolution include:

An order being cancelled before fulfillment.
A merchant being unable to fulfill an accepted order.
A payment being successfully processed but the order not being completed.
An incorrect or materially defective order where applicable.
A duplicate payment.
Other circumstances approved by NiiGo or the relevant merchant.

Certain products or services may be subject to specific refund restrictions.

Pharmacy and prescription-related orders may be subject to additional restrictions because of applicable health, safety, and regulatory requirements.

14. Prohibited Activities

You must not use NiiGo to:

Commit or facilitate unlawful activities.
Commit fraud or financial abuse.
Provide false or misleading information.
Create accounts for fraudulent purposes.
Impersonate another person or business.
Attempt to gain unauthorized access to the Platform.
Introduce malicious software or harmful code.
Interfere with Platform operations.
Abuse merchants, delivery partners, customers, or NiiGo personnel.
Manipulate reviews, ratings, orders, promotions, or transactions.
Use the Platform to distribute prohibited goods or services.
Misuse another person's personal information.
Circumvent Platform security or access controls.
Use automated systems to interfere with the normal operation of the Platform without authorization.

NiiGo may investigate suspected violations and take appropriate action, including suspending or terminating accounts.

15. Promotions, Discounts and Offers

NiiGo or participating merchants may offer promotions, discounts, coupons, referral programs, or other offers.

Promotions may be subject to additional terms, including:

Eligibility requirements
Expiration dates
Minimum order requirements
Usage limits
Product or merchant restrictions

NiiGo may withdraw or modify promotions where permitted by applicable law.

Promotions may not be combined unless expressly stated otherwise.

16. Reviews and User Content

NiiGo may allow users to submit reviews, ratings, comments, images, or other content.

You agree that content you submit must:

Be truthful and based on your genuine experience.
Not contain unlawful, threatening, abusive, defamatory, or misleading material.
Not infringe another person's intellectual property or privacy rights.
Not contain malicious code or harmful material.
Not be submitted for fraudulent purposes.

By submitting content to NiiGo, you grant NiiGo a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute that content for purposes connected with operating, promoting, and improving the Platform, subject to applicable law.

NiiGo may remove content that violates these Terms or applicable law.

17. Intellectual Property

The NiiGo Platform and its contents, including software, designs, logos, trademarks, text, graphics, interfaces, and other materials, are owned by or licensed to NiiGo or its respective rights holders.

You may use the Platform only for its intended purposes.

You may not, without authorization:

Copy or reproduce substantial portions of the Platform.
Modify or create derivative works from NiiGo software or content.
Reverse engineer or attempt to extract source code except where legally permitted.
Use NiiGo trademarks without authorization.
Reproduce NiiGo branding in a manner that suggests an unauthorized relationship with NiiGo.

18. Privacy

NiiGo collects and processes personal information in accordance with its Privacy Policy.

Our Privacy Policy explains:

How information is used.
How information may be shared.
How sensitive and prescription information is handled.
Data security practices.
Data retention.
Applicable privacy rights.

By using NiiGo, you acknowledge that you have reviewed the Privacy Policy.

19. Third-Party Services

NiiGo may integrate with or rely on third-party services, including:

Payment providers
Maps and navigation services
Communication providers
Hosting providers
Analytics services
Security providers
Merchant systems
Pharmacy systems

Third-party services may have their own terms and privacy policies.

NiiGo is not responsible for services that are operated independently by third parties, except to the extent required by applicable law.

20. Platform Availability

NiiGo aims to maintain reliable access to the Platform but does not guarantee that the Platform will always be:

Available
Uninterrupted
Error-free
Secure from every possible threat
Free from delays or technical problems

The Platform may occasionally be unavailable because of maintenance, upgrades, technical problems, security incidents, network failures, or circumstances beyond NiiGo's reasonable control.

21. Disclaimers

To the extent permitted by applicable law, NiiGo provides the Platform on an “as available” basis.

NiiGo does not guarantee that:

Every merchant will always be available.
Every listed product will always be available.
Orders will always be fulfilled.
Delivery times will always be met.
Product information supplied by merchants will always be completely accurate.
Third-party services will always operate without interruption.

Nothing in these Terms excludes any rights or protections that cannot lawfully be excluded under applicable law.

22. Limitation of Liability

To the maximum extent permitted by applicable law, NiiGo will not be responsible for indirect, incidental, special, consequential, or unforeseeable losses arising from your use of the Platform.

This may include losses resulting from:

Merchant actions or omissions.
Delivery partner actions or omissions.
Product availability issues.
Delays outside NiiGo's reasonable control.
Third-party service interruptions.
Incorrect information supplied by users or merchants.
Unauthorized access resulting from the user's failure to protect account credentials.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

23. Indemnification

To the extent permitted by applicable law, you agree to be responsible for claims, losses, liabilities, damages, and reasonable expenses arising from your:

Violation of these Terms.
Misuse of the Platform.
Fraudulent or unlawful activities.
Violation of another person's rights.
Breach of applicable laws or regulations.

This provision does not apply to the extent that the relevant loss was caused by NiiGo's own unlawful conduct or liability that cannot legally be excluded.

24. Suspension and Termination

NiiGo may suspend, restrict, or terminate your access to the Platform where reasonably necessary, including if:

You violate these Terms.
Your account is associated with fraudulent activity.
Your account presents a security risk.
Your activities may harm other users, merchants, delivery partners, or NiiGo.
Required by law or a competent authority.

You may stop using the Platform at any time.

Termination does not automatically remove obligations that are intended to survive termination, including provisions relating to payments, intellectual property, liability, disputes, and applicable legal obligations.

25. Changes to These Terms

NiiGo may update these Terms from time to time to reflect changes in:

Our services
Technology
Business operations
Legal or regulatory requirements
Security practices

Updated Terms will be published on the Platform with a revised Last Updated date.

Where required by applicable law, NiiGo may provide additional notice regarding material changes.

Your continued use of the Platform after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

26. Governing Law and Disputes

These Terms shall be interpreted and applied in accordance with the laws applicable to NiiGo and the services provided through the Platform.

NiiGo encourages customers, merchants, delivery partners, and other users to first contact NiiGo to resolve complaints or disputes informally.

Nothing in this section prevents a user from exercising rights or pursuing remedies available under applicable law.

27. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be interpreted or modified to the extent necessary to make it enforceable where legally possible.

The remaining provisions will continue to apply.

28. Entire Agreement

These Terms, together with the NiiGo Privacy Policy, Refund Policy, Cancellation Policy, Shipping & Delivery Policy, and any other policies or additional terms expressly applicable to specific NiiGo services, constitute the terms governing your use of the Platform.

Where additional terms apply to a specific service, those terms will apply in addition to these Terms.
